These Competition Terms & Conditions (the “Terms”) govern registration for and participation in CartesianForms: Architecture Reimagined (the “Competition”).
The Competition is organized and operated by Parametric Architecture, LLC, a Delaware limited liability company (“Parametric Architecture,” “PA,” “Organizer,” “we,” “us,” or “our”), through its platforms and initiatives, including PAACADEMY, and in collaboration with FORMAS and other sponsors, technology partners, media partners, jurors, contributors, and service providers identified in connection with the Competition.
Unless expressly stated otherwise in a separate written agreement executed by Parametric Architecture, LLC, Parametric Architecture, LLC is the legal operator of the Competition and owns and controls the Competition platform, Competition branding, official Competition content and materials, and all rights granted to the Organizer under these Terms.
By registering for, paying for, submitting work to, or otherwise participating in the Competition, each participant confirms that they have read, understood, and agreed to be legally bound by these Terms, together with the official Competition brief and any policies expressly incorporated into these Terms.
If you do not agree to these Terms, you must not register for or participate in the Competition.
1. The Competition
CartesianForms: Architecture Reimagined is an international design competition exploring how artificial intelligence, computational design, digital technologies, and emerging creative practices can contribute to new approaches to architecture, design, and the built environment.
Participants are invited to develop original proposals responding to the Competition brief and submission requirements published through the official Competition website.
The Competition is intended to encourage architectural experimentation, design research, technological exploration, education, and public discussion concerning the future of architecture and design. Unless expressly stated otherwise, it is an ideas and design competition. Participation or selection as a finalist or winner does not constitute a commission to construct, engineer, manufacture, develop, or commercially implement any submitted proposal.
The Organizer may engage third parties to assist with Competition administration, technology, judging, promotion, communications, exhibitions, publications, prize fulfillment, and other Competition-related activities.
FORMAS and other identified organizations may participate as collaborators, sponsors, prize contributors, technology partners, promotional partners, or in other capacities. Such participation does not, by itself, make any such organization a legal organizer, joint venture partner, employer, fiduciary, agent, or representative of Parametric Architecture, LLC.
2. Acceptance of the Terms
Participation in the Competition constitutes full and unconditional acceptance of these Terms, the official Competition brief, applicable submission requirements, the Competition’s AI and intellectual property policies, applicable privacy notices, payment and refund policies, and reasonable official instructions issued by the Organizer.
In the event of an inconsistency between these Terms and promotional or informational materials concerning the Competition, these Terms shall control unless the Organizer expressly provides otherwise in writing.
The Organizer retains the right to interpret and administer the Competition rules reasonably and in good faith. To the fullest extent permitted by applicable law, the Organizer’s decisions concerning Competition administration, eligibility, compliance, judging procedures, disqualification, and prize verification shall be final.
3. Eligibility
Unless otherwise stated on the official Competition website, the Competition is open internationally to eligible individuals who satisfy the requirements applicable to their selected category.
Participants may enter individually or as part of an eligible team where team participation is permitted. Each participant is responsible for determining whether participation in the Competition and receipt of any potential prize are lawful in the participant’s country or jurisdiction. The Competition is void where prohibited or restricted by applicable law.
The Competition may include separate Student and Professional categories. Participants entering the Student category may be required to demonstrate enrollment or other qualifying student status. The Professional category may include architects, designers, artists, engineers, researchers, technologists, graduates, independent practitioners, studios, and other eligible participants.
The Organizer may request reasonable documentation at any stage to verify identity, age, student status, professional status, team composition, authorship, residency, or other eligibility requirements.
A participant who enters an incorrect category, provides materially inaccurate information, or cannot demonstrate eligibility may, at the Organizer’s discretion, be transferred to an appropriate category where practicable or disqualified.
Employees, officers, directors, contractors, jurors, and other persons directly involved in administering or judging the Competition may be excluded from participation where their involvement would create an actual or perceived conflict of interest. The Organizer may also exclude immediate family or household members of jurors or administrators where reasonably necessary to preserve the integrity of the Competition.
4. Team Participation
Where team entries are permitted, all team members must be identified in accordance with the Competition requirements. Unless otherwise specified, eligible teams may consist of two to five members.
The individual designated during registration as the team leader or primary registrant shall be deemed authorized to act on behalf of the team in connection with registration, communications, submission, prize administration, and Competition-related decisions.
By submitting a team entry, the team leader represents and warrants that every identified team member has consented to participate, satisfies applicable eligibility requirements, has authorized submission of the work, and agrees to these Terms.
Participants are solely responsible for resolving disputes among team members concerning authorship, attribution, ownership, responsibilities, or division of prizes. The Organizer has no obligation to investigate or mediate internal team disputes.
Unless otherwise determined by the Organizer, a monetary prize awarded to a team may be paid to the registered team leader. Distribution among team members shall thereafter be the team’s responsibility.
5. Registration, Fees and No-Refund Policy
Participants must complete the official registration process, provide accurate and current information, and pay all applicable registration, submission, team, additional participant, late, administrative, or other fees through an authorized payment method.
Fees may differ depending on the registration period, participant category, team size, promotional campaign, or other criteria published by the Organizer. Participants are responsible for reviewing the applicable fees, Competition requirements, eligibility requirements, deadlines, and these Terms before completing payment.
ALL PAYMENTS MADE IN CONNECTION WITH CARTESIANFORMS: ARCHITECTURE REIMAGINED ARE FINAL, NON-CANCELLABLE, AND NON-REFUNDABLE. PARAMETRIC ARCHITECTURE, LLC DOES NOT PROVIDE REFUNDS, CREDITS, REVERSALS, OR REIMBURSEMENTS UNDER ANY CIRCUMSTANCES, EXCEPT SOLELY WHERE A REFUND IS EXPRESSLY REQUIRED BY MANDATORY, NON-WAIVABLE APPLICABLE LAW.
Without limiting the foregoing, no refund, credit, reimbursement, or payment reversal will be provided because a participant changes their mind; withdraws or chooses not to participate; fails to complete or submit an entry; misses a registration or submission deadline; submits an incomplete, invalid, corrupted, late, or non-compliant entry; registers for an incorrect category; fails to satisfy eligibility requirements; is disqualified; experiences personal, professional, academic, financial, travel, visa, technical, internet, hardware, software, or other difficulties; disagrees with a jury or Organizer decision; is not shortlisted, selected, published, or awarded a prize; cannot receive or use a particular prize or third-party benefit; fails to respond to Organizer communications; or otherwise does not receive the result, benefit, recognition, or experience they expected from participation.
The no-refund policy also applies where a participant makes multiple registrations, registers more than once, purchases an incorrect entry or category, enters incorrect information, or otherwise makes a payment in error. Participants are responsible for reviewing all payment details before completing a transaction.
The no-refund policy further applies to any registration, submission, team-member, administrative, promotional, discounted, early-registration, standard-registration, late-registration, or other Competition-related payment, regardless of whether the participant ultimately uses or benefits from the purchased registration.
Once a payment has been successfully processed, the participant shall have no contractual right to cancel the transaction or demand a refund, credit, substitution, reimbursement, or transfer.
Participants agree not to initiate a payment dispute, chargeback, or payment reversal merely because they changed their mind, failed to participate or submit, were disqualified, disagreed with Competition results, or otherwise experienced a circumstance expressly covered by this no-refund policy. Nothing in this paragraph limits any rights that cannot lawfully be waived or prevents a participant from reporting genuinely unauthorized or fraudulent payment activity.
Registration does not guarantee submission acceptance, evaluation, publication, finalist status, an award, a prize, or any other Competition outcome.
Registrations may not be transferred, assigned, resold, substituted, or credited toward another participant, product, service, event, course, competition, or future edition unless Parametric Architecture, LLC expressly authorizes such transfer in writing.
The Organizer may reject, suspend, cancel, or terminate a registration where it reasonably suspects fraud, payment irregularities, false information, manipulated registrations, sanctions restrictions, violations of these Terms, prohibited conduct, or other activity threatening the fairness, security, legality, integrity, or reputation of the Competition. Cancellation or termination of a registration by the Organizer because of a participant’s conduct, ineligibility, non-compliance, or breach of these Terms shall not entitle the participant to a refund.
Except solely where required by mandatory, non-waivable applicable law, there are no exceptions to this no-refund policy.
6. Competition Schedule and Deadlines
The anticipated Competition schedule, including registration periods, submission deadlines, jury review, finalist announcements, winner announcements, and any exhibitions or publications, will be published through the official Competition website.
All deadlines shall be interpreted according to the time zone specified by the Organizer.
Participants bear sole responsibility for completing their submissions before the applicable deadline. Participants are strongly encouraged not to wait until the final hours before a deadline to upload Competition materials.
The Organizer may reasonably extend or modify deadlines and other dates where necessary for the administration, integrity, accessibility, or successful operation of the Competition.
7. Submission Requirements
Every entry must comply with the official Competition brief and the technical and administrative submission requirements published by the Organizer.
Such requirements may include specifications relating to presentation boards, image resolution, file formats and sizes, written descriptions, videos or animations, AI process documentation, project titles, participant identification, anonymity, language, naming conventions, or other supporting materials.
Entries that are materially incomplete, inaccessible, corrupted, submitted after the applicable deadline, incorrectly formatted, or substantially inconsistent with the Competition requirements may be excluded from evaluation.
The Organizer is not obligated to contact participants to identify or correct deficiencies in a submission.
8. Originality, Authorship and Participant Representations
Each participant represents and warrants that they possess all rights, permissions, licenses, and authority necessary to submit the Competition materials and grant the rights described in these Terms.
Participants further represent that their submissions do not knowingly infringe the copyright, trademark, patent, design right, privacy right, publicity right, moral right, contractual right, or other intellectual property or proprietary right of another person or organization.
Participants may incorporate appropriately licensed third-party materials, software outputs, AI-generated elements, datasets, assets, or other resources where their use is lawful and consistent with the applicable terms governing those resources. Participants remain solely responsible for determining whether they have sufficient rights to incorporate such material into their submissions.
Submission of plagiarized work, knowingly false authorship claims, unauthorized third-party work, or materially deceptive representations concerning the creation of a project may result in immediate disqualification.
9. Artificial Intelligence and Digital Tools
The Competition encourages the responsible and creative use of artificial intelligence, computational design, generative systems, machine learning, digital fabrication workflows, visualization technologies, and other emerging tools where consistent with the Competition brief.
Participants may use AI-assisted or AI-generated processes subject to the Competition’s applicable AI requirements. Where requested, participants must accurately identify or describe the material tools, platforms, models, software, or workflows used in developing their submission.
The Organizer may request reasonable additional information concerning the creation process for purposes of judging, eligibility verification, editorial coverage, research, exhibition, or investigation of suspected violations.
Participants are solely responsible for ensuring that their use of AI systems and other technologies complies with applicable laws and the terms, licenses, and policies governing those technologies. Use of an AI system does not relieve a participant of responsibility for the legality, originality, attribution, or integrity of the resulting submission.
The Organizer makes no representation or warranty regarding whether AI-generated or AI-assisted material qualifies for copyright or other intellectual property protection in any jurisdiction.
A separate Submission, Copyright & AI Policy may establish additional requirements and shall be incorporated into these Terms by reference where published.
10. Prohibited Content and Conduct
The Organizer may reject, remove, or disqualify a submission that it reasonably determines is unlawful, plagiarized, fraudulent, infringing, defamatory, intentionally deceptive, hateful, discriminatory, threatening, sexually exploitative, malicious, or materially inconsistent with the professional and creative purposes of the Competition.
Participants must not manipulate or attempt to manipulate registration systems, public voting where applicable, Competition technology, judging procedures, eligibility verification, or Competition results.
Participants must not harass, threaten, improperly influence, or attempt to obtain preferential treatment from jurors, Competition staff, other participants, sponsors, or partners.
The Organizer may also take reasonable action regarding material that exposes the Competition, Organizer, participants, partners, jurors, or sponsors to substantial legal, security, or reputational risk.
11. Intellectual Property and Rights Granted to Parametric Architecture
Participants retain such ownership rights as they lawfully possess in their underlying original designs and creative work. Nothing in these Terms shall be interpreted as granting a participant ownership of third-party technologies, AI models, datasets, software, trademarks, images, or other materials merely because those materials were used in producing a submission.
However, submission to the Competition constitutes a material grant of rights to Parametric Architecture, LLC.
By submitting Competition materials, each participant grants Parametric Architecture, LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable and sublicensable license to host, store, reproduce, copy, publish, distribute, transmit, communicate to the public, publicly display, publicly perform, exhibit, broadcast, translate, crop, resize, reformat, edit, adapt, annotate, archive, promote, advertise, and otherwise use the submitted materials, in whole or in part, in any media or format now known or later developed.
This license includes the right to use submitted materials in connection with Parametric Architecture, PAACADEMY, CartesianForms: Architecture Reimagined, future editions of the Competition, editorial publications, websites, social media, newsletters, videos, documentaries, podcasts, books, print publications, exhibitions, presentations, reports, research, educational materials, case studies, advertising, public relations, promotional campaigns, partner communications, archives, and other Competition-related or Parametric Architecture-related activities.
The foregoing license may be exercised directly by Parametric Architecture, LLC or through its affiliates, platforms, publishers, media partners, sponsors, service providers, promotional partners, successors, and authorized licensees.
No additional payment or royalty shall be owed to a participant for uses permitted by this section.
Where commercially and practically reasonable, the Organizer intends to identify or credit the relevant participant or team when prominently publishing submitted work. An inadvertent omission, formatting error, or temporary absence of attribution shall not constitute a material breach of these Terms.
To the extent permitted by applicable law, participants consent to reasonable editing, formatting, cropping, translation, adaptation, and presentation of their Competition materials and agree not to assert moral rights or similar rights solely to prevent uses authorized under this section.
Participants agree to execute reasonable additional documentation if necessary to confirm the rights granted to Parametric Architecture, LLC under these Terms.
All rights in the Competition itself—including its name, identity, visual materials, website content, official brief, promotional materials, editorial content, Competition databases, presentations, videos, publications, and other materials created by or on behalf of the Organizer—remain exclusively owned by or licensed to Parametric Architecture, LLC.
12. Publication, Publicity and Participant Information
Submission of an entry does not guarantee publication. The Organizer may select any eligible submission for editorial coverage, publication, exhibition, promotional use, or archival presentation regardless of whether the submission becomes a finalist or winner.
Participants selected as finalists or winners may be asked to provide names, biographies, photographs, interviews, professional or educational affiliations, country information, project descriptions, social media handles, process materials, or other reasonable publicity information.
To the extent permitted by applicable law, participants authorize Parametric Architecture, LLC to use their name, approved likeness, biography, voice, professional or educational affiliation, country, project title, Competition-related statements, and other submitted publicity materials for Competition administration, editorial coverage, exhibition, promotion, and publicity without additional compensation.
Selection for publication does not imply that a submission has won an award, received a jury endorsement, or satisfies professional engineering, construction, safety, or regulatory standards.
13. Judging and Jury Decisions
Eligible submissions will be evaluated according to the criteria announced by the Organizer. Depending on the Competition structure, these may include architectural quality, originality, conceptual strength, relevance to the Competition theme, creative application of AI or emerging technologies, environmental or social relevance, communication quality, feasibility or speculative value, and overall design merit.
Architectural and creative evaluation necessarily involves subjective professional judgment. Different jurors may reasonably evaluate the same project differently.
The Organizer may appoint, replace, add, or remove jurors where reasonably necessary, including because of availability, conflicts of interest, illness, professional obligations, or other circumstances.
Participants must disclose any material relationship with a juror or Competition administrator that could reasonably create a conflict of interest. The Organizer may require a juror to abstain from evaluating a particular submission or take other reasonable measures to protect Competition integrity.
Except where applicable law requires otherwise, jury and Organizer decisions concerning evaluation and awards are final. Neither the Organizer nor individual jurors are required to provide individual feedback, scoring sheets, deliberation records, correspondence, or explanations concerning the evaluation of a particular submission.
14. Prize Pool and Awards
The Competition is expected to offer an aggregate prize pool with an announced value of up to USD $120,000, subject to the final prize structure officially published by the Organizer.
The advertised prize-pool value may consist of a combination of cash awards, technology or platform credits, software credits, products, services, educational benefits, promotional opportunities, partner-provided awards, and other non-cash benefits. Accordingly, an advertised “$120,000 prize pool” does not mean that $120,000 will necessarily be distributed in cash.
The official Competition materials will identify the applicable allocation of prizes and, where appropriate, the stated value of non-cash awards.
Prizes provided by sponsors or third parties may be subject to separate eligibility conditions, account requirements, expiration dates, geographic restrictions, availability, technical limitations, sanctions requirements, and the provider’s own terms and policies.
Where a third-party prize becomes unavailable for reasons beyond the Organizer’s reasonable control, the Organizer may substitute a prize or benefit of reasonably comparable value where practicable, but is not required to provide the cash equivalent of a third-party product, service, or credit unless expressly promised.
No participant is entitled to a prize until the Organizer has completed all required winner verification.
15. Winner Verification, Prize Payment and Taxes
Potential winners may be required to verify their identity, eligibility, student or professional status, authorship, team composition, payment details, tax information, and compliance with these Terms. The Organizer may also request reasonable source or process information concerning a winning submission where necessary to verify originality or Competition compliance.
Potential winners may be required to execute declarations, releases, tax documentation, intellectual property confirmations, or other reasonable documents before receiving an award.
If a potential winner cannot be contacted after reasonable attempts, fails to provide requested information within the specified period, cannot legally receive the prize, supplied materially false information, or is found to have violated these Terms, the Organizer may revoke the award and, where appropriate, select another recipient.
Winners are solely responsible for determining and satisfying any tax, reporting, customs, income, VAT, withholding, or other financial obligations arising from receipt of a prize. The Organizer may withhold amounts where required by law.
Where a team receives a monetary award, the Organizer may make a single payment to the registered team leader. The Organizer shall not be responsible for determining or enforcing how the prize is subsequently divided among team members.
16. Disqualification and Revocation of Awards
The Organizer may disqualify an entry or participant where it reasonably determines that the participant has committed plagiarism or intellectual property infringement; falsely represented authorship or eligibility; failed to disclose a material conflict of interest; manipulated or attempted to manipulate the Competition; interfered with judging; engaged in fraudulent payment activity; harassed Competition participants or personnel; submitted prohibited content; materially violated submission requirements; or otherwise breached these Terms.
Disqualification may occur at any stage, including after finalist or winner announcements.
If a material violation is discovered after an award has been issued, the Organizer may revoke the award and, where legally permissible, require the return of cash, credits, benefits, titles, certificates, or other prizes previously provided.
The Organizer may publicly correct or withdraw a Competition result where reasonably necessary to protect the accuracy and integrity of the Competition.
17. Changes, Suspension, Postponement or Cancellation of the Competition
The Organizer reserves the right to make reasonable modifications to Competition dates, deadlines, submission requirements, categories, judging procedures, jury composition, prize allocations, technical requirements, publication plans, exhibition plans, partner or sponsor participation, Competition platforms, or other Competition elements where circumstances reasonably require such changes.
Material changes will be communicated through the Competition website, registered participant communications, or other appropriate official channels.
The Organizer may extend deadlines, postpone announcements, replace or modify jurors, modify Competition procedures, substitute third-party services, alter administrative requirements, or make other changes reasonably necessary for the proper operation of the Competition. Such modifications do not create a right to a refund, credit, reimbursement, or cancellation.
The Organizer may suspend, postpone, modify, terminate, or cancel all or part of the Competition where circumstances beyond its reasonable control materially affect its ability to conduct the Competition fairly, lawfully, safely, securely, or practically. Such circumstances may include natural disasters, war, terrorism, civil unrest, epidemics or pandemics, governmental action, sanctions, changes in applicable law, cyberattacks, fraud, widespread technology or infrastructure failures, failure or withdrawal of a third-party service, sponsor or prize provider, force majeure, or other circumstances materially affecting Competition administration.
To the fullest extent permitted by applicable law, postponement, suspension, modification, rescheduling, changes to Competition procedures, changes to jury composition, changes to partners or sponsors, changes to third-party prizes or services, or cancellation of all or any portion of the Competition shall not create a contractual right to a refund, credit, reimbursement, compensation, or damages.
Where a prize, service, or third-party benefit becomes unavailable, the Organizer may substitute, modify, postpone, or discontinue that prize, service, or benefit in accordance with these Terms and the applicable Prize & Winner Policy without creating a right to refund the participant’s Competition registration or submission fees.
All Competition payments remain final and non-refundable notwithstanding any such change, suspension, postponement, modification, termination, or cancellation, except solely to the extent that a refund is expressly required by mandatory, non-waivable applicable law.
18. Technology and Third-Party Services
Participants are responsible for maintaining appropriate internet access, hardware, software, backups, and copies of all materials submitted to the Competition.
To the fullest extent permitted by law, the Organizer is not responsible for participant-side internet failures, corrupted files, incompatible formats, lost emails, spam filtering, incomplete uploads, device or software failures, failed uploads caused by a participant’s systems, or submissions received after a deadline because of participant-side technical problems.
The Competition may rely on third-party providers for registration, payment processing, cloud storage, artificial intelligence services, communications, analytics, video hosting, judging, file transfer, or other functionality. Such services may be governed by independent terms and privacy policies.
The Organizer does not warrant the uninterrupted availability or error-free operation of third-party systems and is not responsible for the independent conduct, policies, security, availability, or technical performance of third-party providers except to the extent responsibility cannot lawfully be excluded.
19. Third-Party Claims and Indemnification
If the Organizer receives a credible claim that a submission infringes or violates third-party rights, it may temporarily or permanently remove the submission from publication, suspend the participant’s eligibility, withhold an award, or take other reasonable action while the matter is investigated.
The participant shall reasonably cooperate in addressing claims arising from materials supplied by that participant.
To the fullest extent permitted by applicable law, each participant agrees to indemnify, defend, and hold harmless Parametric Architecture, LLC and its affiliates, members, managers, officers, employees, contractors, representatives, agents, authorized partners, sponsors, jurors, and service providers from and against third-party claims, liabilities, damages, judgments, losses, costs, and reasonable legal expenses arising from the participant’s submission, infringement by materials supplied by the participant, material breach of these Terms, false representations made by the participant, unlawful conduct by the participant, or disputes among members of the participant’s team.
This provision shall survive conclusion of the Competition, withdrawal, and disqualification.
20. Limitation of Liability and Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Competition, Competition website, Competition materials, and related services are provided on an “as is” and “as available” basis.
The Organizer makes no guarantee concerning uninterrupted availability, error-free operation, publication, professional recognition, commercial success, future collaboration, employment, investment, architectural commissions, construction opportunities, or the value or usability of third-party prizes or benefits.
Participation, finalist status, or winning does not create any right or expectation of employment, investment, construction of a project, commercial development, publication, representation, partnership, sponsorship, or future business relationship with Parametric Architecture, LLC, FORMAS, any sponsor, juror, or Competition partner.
To the fullest extent permitted by applicable law, Parametric Architecture, LLC and its affiliates, members, managers, officers, employees, contractors, agents, partners, sponsors, jurors, and service providers shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of opportunity, loss of profits, loss of data, reputational harm, or business interruption arising from or relating to participation in the Competition.
To the fullest extent permitted by law, the aggregate liability of Parametric Architecture, LLC arising out of or relating to a participant’s participation in the Competition shall not exceed the registration fees actually paid by that participant to the Organizer for the relevant Competition entry.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.
21. Privacy and Communications
The Organizer may collect and process personal information reasonably necessary to administer the Competition, including participant names, contact details, country, educational or professional affiliation, billing information, team information, submissions, technical information, eligibility documentation, and Competition communications.
Information may be processed by or shared with authorized service providers, jurors, payment providers, Competition partners, prize providers, professional advisers, or governmental authorities where reasonably necessary for Competition administration, prize fulfillment, fraud prevention, legal compliance, or protection of the Organizer’s legitimate rights.
Additional information concerning personal data will be provided in the applicable Competition Privacy Notice.
By registering, participants agree to receive transactional communications reasonably necessary to administer the Competition, including registration confirmations, deadline notices, submission communications, rule updates, eligibility requests, judging information, and prize communications.
Marketing communications will be handled separately in accordance with applicable law and consent requirements.
22. Compliance With Law and Sanctions
Participation and prize distribution are subject to applicable United States laws and regulations, including applicable sanctions, export controls, anti-fraud requirements, financial regulations, and other legal restrictions.
The Organizer may reject registration, restrict participation, withhold payment, decline to provide a prize, or request additional verification where reasonably necessary to comply with applicable law or a binding requirement imposed by a payment processor, financial institution, government authority, or prize provider.
Participants are not entitled to compensation from the Organizer for actions reasonably required to satisfy legal or regulatory obligations.
23. Governing Law and Disputes
Except where mandatory consumer or other applicable law requires otherwise, these Terms and any dispute arising out of or relating to the Competition shall be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Before commencing formal legal proceedings, participants are encouraged to contact the Organizer and attempt in good faith to resolve the matter informally.
Unless otherwise required by mandatory applicable law, legal proceedings arising from or relating to the Competition or these Terms shall be brought before a court of competent jurisdiction in the State of Delaware, United States, and participants consent to the jurisdiction and venue of such courts.
Nothing in this provision prevents Parametric Architecture, LLC from seeking injunctive, protective, or equitable relief in another jurisdiction where reasonably necessary to protect its intellectual property, confidential information, Competition integrity, or other legal rights.
24. General Provisions
Nothing in these Terms creates an employment relationship, partnership, agency, fiduciary relationship, franchise, or joint venture between a participant and Parametric Architecture, LLC.
Participants may not assign or transfer their rights or obligations under these Terms without the Organizer’s prior written approval. Parametric Architecture, LLC may assign or transfer its Competition-related rights and obligations to an affiliate, successor, acquirer, or other entity in connection with a merger, acquisition, corporate restructuring, sale of assets, or transfer of the relevant business, subject to applicable law.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to preserve its enforceability where possible, and the remaining provisions shall remain in full force.
Failure by the Organizer to enforce a provision does not constitute a waiver of that provision or any other right.
Provisions concerning intellectual property, publicity rights, representations and warranties, indemnification, limitation of liability, governing law, disputes, and any provisions that by their nature should survive shall continue after the Competition concludes or a participant withdraws or is disqualified.
These Terms, together with the official Competition brief and policies expressly incorporated by reference, constitute the agreement between the participant and the Organizer regarding participation in the Competition and supersede conflicting prior representations concerning the Competition.
25. Amendments to These Terms
Parametric Architecture, LLC may update these Terms where reasonably necessary to reflect changes to the Competition, applicable law, security requirements, administrative requirements, technology, or partner obligations.
Material amendments will be communicated through the Competition website or another reasonable official communication channel.
The version displaying the latest revision date shall constitute the current version of these Terms. No amendment will retroactively deprive a participant of an already-awarded prize except where necessary because of fraud, ineligibility, legal restrictions, infringement, or a material violation of these Terms.
26. Contact
Questions concerning these Terms or the Competition should be submitted using the official contact information provided on the CartesianForms: Architecture Reimagined website.
